BOARD OF TRUSTEES ANNUAL MEETING
September 5, 2024 – 5:30pm
PROPOSED MINUTES
Present: President Jon Halvorson, Cynthia Pratt, Vice President, Kendra Hensley, Treasurer, Tim McGuire arriving late, Co-Secretary, and Trustees John Dziedzic, Larry Ganders, Cheryl Malkmus, Peggy McHugo, Monte Pascual, John Turner, and Margie Wyllie. Co-Secretary Keegan excused. There was a total of 28 in attendance which included 11 trustees, 7 members and 10 guests of which 5 were representing city of Lacey, 3 from Capital Development Corporation (plus John Donaldson a member of our society) and our Facebook freelance writer and her mother.
President Halvorson convened the meeting at 5:32 p.m., and declared we had a quorum as 18 members were in attendance is greater than 10% of our count of membership of 93 and thus a quorum was present.
President Halvorson remarked “Sadly, in July we lost our colleague and friend Robert Southwick. He was a LHS Board Trustee and former Vice President. Born and raised in our area a descendant of Lacey settlers, he served us well. Let’s take a moment of silence to remember Robert.”
He also announced Peggy McHugo will be finishing her term of office on December 31, 2024. She has been a wonderful Trustee and helped us with organizing all three of our Membership meetings over the past two years as well as contributing historical items and stories. She was presented with a certificate of appreciation.
President Halvorson called upon Treasurer Hensley to introduce Lilli Lake, a Central Washington University student who has written a number of articles for the society’s Facebook page during her summer break. Ms. Lake was presented with a certificate of appreciation.
Minutes: M/S/P Member Webb moved and Trustee Dziedzic seconded to approve the minutes of the October 24, 2023 annual membership meeting and June 5, 2024 special meeting. The motion was adopted.
Nominating Committee report: Trustee Dziedzic presented the report from the nominating committee. 6 trustees have volunteered to run for election to a new two year term (January 1, 2025 through December 31, 2026) in order to begin the process of electing half of the 12 member board of trustees every two years. Those six are President Halvorson, Vice President Pratt and Trustees Ganders, Keegan, Turner and Wyllie. The two trustee’s running for election due to vacancies for a one year term expiring December 31, 2025 are Secretary Dziedzic and Trustee Webb.
Trustee Webb moved and Trustee Ganders seconded that the nominations be closed and a unanimous ballot be recorded for those candidates recommended by the nominating committee. a motion to approve the slate of candidates as presented. The motion was adopted.
Recap of balloting: There were 21 ballots cast for the annual membership meeting; 5 by mail; 3 email and 13 collected at the meeting.
Trustee Webb moved and Trustee Turner seconded that the annual membership meeting be adjourned and continue with the Program. The motion was adopted.
Program Speakers: John Dziedzic, Secretary elect, introduced John Donaldson who discussed the history of how South Sound Center became a reality, built under the direction of Capitol Development Corporation. Representing Capitol Development Corporation was John Donaldson, Chris Blume, grandson of Bob Blume, his wife and an employee. The original occupants were displayed on a map from 1966, which brought back memories for a lot of us. When the mall opened it was the largest mall that operated on a septic tank. Questions and answers followed. John Dziedzic, Secretary elect, introduced Rick Walk, Lacey city manager, Rick discussed the city’s planning and development proposals for the creation of “Lacey’s Midtown an Innovative District”. Questions and answers followed.
Next Meeting: The next meeting is October 8th, 2024 at the Lacey Fire Department main station.
There being no additional discussion President Halvorson declared the meeting adjourned. The meeting was adjourned at 6:50 p.m.
