BOARD OF TRUSTEES REGULAR MEETING
December 12, 2023 – 3:30pm
MINUTES
Present: Jon Halvorson, President, Robert Southwick, Vice-President; John Dziedzic, Secretary; and Trustees Peggy McHugo, Nancy Miller, John Turner, Paul Webb, Judy Wilson and Margie Wyllie. Guests: Denise Keegan, Cynthia Jo Pratt, and Tim McGuire, Trustee Nominees.
Trustees Kendra Hensley and Monte Pascual were excused.
President Halvorson convened the meeting at 3:45 p.m.
Agenda/Previous Minutes:
M/S/P: Trustee Wilson moved, and Trustee Pratt seconded, a motion to approve the Agenda as presented. The motion passed without opposition.
M/S/P: Trustee Turner moved, and Trustee Webb seconded, a motion to approve the minutes of the November 14, 2023 meeting, as presented and revised with the
addition of the following sentence in the portion of the President’s report on committee responsibilities: “Each committee will prepare a statement of the purpose of the committee and what it will plan to accomplish.” The motion passed without opposition.
President’s Report: President Halvorson congratulated Trustee McHugo on her perfect attendance at Board meetings since joining the Board in June 2023, and
distributed certificates of appreciation, signed by the President and Vice President of the Society to the following Trustees, whose terms will expire before the next meeting of the Board of Trustees: Secretary Dziedzic, and Trustees Miller, Webb, and Wilson. President Halvorson also distributed a list of the names and contact information of each Trustee serving on the Board for 2024, along with the schedule of monthly meetings of the Board in 2024. All meetings are currently scheduled to be held at the headquarters building of the Lacey Fire Department (located at 1231 Franz Road) and called to order at 3:30 on the second Tuesday of each month, with the exception of the January meeting, which is scheduled for January 16, the third Tuesday of that month.
President Halvorson encouraged Trustees to take note of upcoming History Talks events, which are all held in the Lacey City Council chambers, and viewable on-line:
• Dec. 12, 2023 – William Fraser Tolmie (Hudson’s Bay Company Leader at Fort Nisqually in the mid-19th century)
• January 10, 2024 – Inside the Lacey City Council of the 1970s with then-Mayor Karen Fraser
• February 15, 2024 – Finding you Family History in the Washington State Archives, with professional genealogist Dr. Jewell Lorenz Dunn
Treasurer’s Report: In Treasurer Hensley’s absence, Secretary Dziedzic noted that the process of preparing year-end letters acknowledging receipt of tax-deductible dues and donations received from members during 2023 has begun.
Website Review: President Halvorson distributed screen shots of two pages from the recently activated website and invited feedback from the Trustees. Trustee-elect
Keegan asked if the Society wished to add a feature providing members and donors with the option to donate the credit card fee associated with the processing of a dues payment/donation. The consensus of the Board was to take the matter under advisement.
M/S/P Trustee Wyllie move, and Secretary Dziedzic seconded, a motion that the Board establish a single annual dues category/amount of $10 (replacing the existing
dues structure of five different categories, with dues ranging from $5 to $100), as authorized by a by-law amendment adopted by the membership at the October Annual Meeting. The motion passed without opposition. Secretary Dziedzic indicated that, with the website “going live,” a payment to ProfitzUp
representing 50% of the contract price was due (the initial 50% having been paid upon execution of the contract), and will be executed upon Treasurer Henley’s return on or about December 20, and that monthly maintenance fees, and charges for training of a Society administrator will begin in January.
Policies: President Halvorson announced that he will be submitting for the Board’s consideration a policy statement relating to the need for annual financial review and/or audit of the Society’s finances.
Former Trustees Recognition: Secretary Dziedzic distributed a two-page resolution honoring immediate past president Lanny Weaver, and a thank you letter addressed to each of the other four Trustees who retired from the Board of Trustees at the end of May 2023.
M/S/P Secretary Dziedzic moved and Vice President Southwick seconded a motion to adopt the proposed resolution recognizing Immediate Past President Lanny
Weaver for “Immeasurable Contributions,” and to award her a Life Membership in the Lacey Historical Society. The motion passed without opposition.
Newsletter: Trustee Wyllie discussed that work was progressing on several articles for the newsletter, including one relating to the “Burger Bar” that was located for many years on Pacific Avenue, just east of Sleater-Kinney Road, and another relating to the effort to recognize Selma Street, where the new MultiCare medical facility is slated to open later this week. The Winter 2024 edition of the newsletter is on target to be released in mid- to late- January.
Next Meeting: The Board agreed to next meet on Tuesday, January 16 at 3:30.
